NORTHERN INDIA TEXTILE RESEARCH ASSOCIATION

 

EXTRACT FROM RULES & REGULATIONS OF NITRA PASSED/APPROVED IN AGM HELD ON 17.10.96 AS AMENDED WITH EFFECT FROM 1st APRIL, 1997

 

 RULE 2 : GENERAL BODY

 

The General Body of the Association shall be composed of the Founder Members and Ordinary Members who only will have voting rights.

 

RULE 3 : MEMBERSHIP

 The membership of the Association shall consist of members who shall be either Corporate Bodies of  Cooperative Societies or Association of persons or Partnership  Firms or Individuals or Association with the following status:

 

a)                   Founder Members:

 Founder members are those who have taken up the membership of the Association on or before 31st December, 1981.

 b)                  Ordinary Members:

 Ordinary members means those textile units (other than worsted woollen mills) whose business is fibre spinning and or weaving and or processing and whose unit(s) or undertaking(s) is/are located within the territorial jurisdiction of the Association.

c)                   Associate Members: will not have the voting rights

 Associate members means and includes:

 i) Textile Units (other than worsted/woolen mills) whose business is fibre spinning and or weaving and or processing and whose unit(s) or undertaking(s) is/are located outside the territorial jurisdiction of the Association either in India or Abroad.

ii) Allied Textile units covering manufacturers of dyes/auxillaries and chemicals, instruments/equipments/machinery; machinery access-ories/ machinery parts related to textiles, manufacturers/ processors of man-made fibres and filaments (including texturing units), manufacturers of other textile items such as worsted woolen, non-wovens, industrial textiles, knitted goods, narrow fabrics, labels, garments etc., located within or outside the territorial jurisdiction of the Association.

iii) Small-scale Textile Units (Powerloom/spinning/Knitting/Process-ing/Ginning/Garment making and other similar units) situated within or outside the territorial jurisdiction of this Association. Small-scale units will be defined as per Govt. of India notification.  For a member to be listed in the category, SSI Certificate from the Govt. would be necessary.

iv)   Trading concerns relating to Textile as mentioned above in (I), (ii) and (iii) situated within or outside the territorial jurisdiction of the Association.

 v)      Federations and Associations of members engaged in production, manufacture, processing or marketing of textile or non-textile products needed by the Textile Industry.

 vi)   Any other organisation which carries on research/scientific educational activities including management development activities within or outside the territorial jurisdiction of the Association.

 vii)     Ginning Factories (both roller ginning and saw ginning) situated within or outside the territorial jurisdiction of the Association which are not covered under clauses (i) to (vi).

 d)                  Honorary Members:

 Honorary members means individual members nominated by the Council as such and who are distinguished  and eminent scientists, technologists in the field of textile research/education or industry and they shall not pay any type of subscription

e)                  The Council shall have powers to constitute additional categories of the membership from time to time.

 

Explanation:

 Founder Members or Ordinary Members as per Clauses 3(a) and 3(b) above and Associate Members as per Clause 3 (c) (i) above will be treated as members, only in respect of such of the units belonging  to them for which they are paying admission fee, annual subscription and capital contribution as may be applicable to them.

 

 RULE 4 : MEMBERSHIP SUBSCRIPTION

 

Every member shall have to pay subscriptions/contributions as mentioned below:

 

4.1               Admission Fee:

 

Admission fee is payable only at the time of admission.

 

a)

Members covered by Clauses 3(a), 3(b) & 3(c) (I) above.

Equivalent to one year’s subscription,Subject to a minimum of Rs.12,500/- &maximum of Rs.40,000/-. 

b)

Members covered by Clause 3(c)(ii) above

Equivalent to one year’s subscription, subject to a minimum of Rs.8,000/- & maximum of Rs.25,000/-. 

c)

Members covered by Clause3(c)(iii) above

Equivalent to one year’s subscription, subject to a minimum of Rs.5,000/- & maximum of Rs.15,000/-.

 

d)

Members covered by Clause 3(c)(iv) above

Equivalent to one year’s subscription, subject to a minimum of Rs.8,000/- & maximum of Rs.25,000/-. 

e)

Members covered by Clauses 3(c)(v) and 3(c)(vi)above

As may be decided by the Council of Administration at the time of admission.

f)

Members covered by Clause3(c) (vii)

Equivalent to one year’s subscription, subject to minimum of Rs.6,000/- & maximum of Rs.12,000/-.

  

4.2               Capital Contribution:

 Applicable to members covered by Clauses 3(a) & 3(b) above.   The Council will have the authority to levy surcharge in addition to annual subscription in accordance with the Rule 4.3 hereof at such rates as may be decided by it from time to time depending upon the needs of the  Association for raising funds to be used only on capital expenditure to improve, add, alter or modify the infrastructure and other facilities needed for fulfilling the objectives of the Association.  The Council will have the right to  levy the surcharge at different rates on different members or totally waive on certain members keeping in view the amount, if any contributed by such members as capital contribution on the basis of provisions in vogue at the relevant time.

 

4.3               Annual Subscription

Annual subscription will be payable along with the application for taking up membership and within 60 days of the beginning of the financial year as under:

 

a)

Members covered by

Clauses 3(a), 3(b) & 3(c)(i) above

65 paise per installed spindle (including looms, rotors and airjet spinning positions and knitting machines, converted to equivalent spindles as per clause 4.6 below)

 However, the Council will have the authority to raise annual subscription rates from time to time depending upon the need of funds based on the yearly revenue expenditure, subject to a maximum of Re.1/- per installed spindle.

and/or

An additional levy on chemical processing at the rate of 20 paise/metre in case of  fabric and Re.1/kg. in case of fibre and yarn.

 Subject to a minimum of Rs.12,500/- and a maximum depending upon activity x plant as follows.

 If activity x plant(s) equal to –

1.      Max. subscription Rs.  40,000/-

2.                                 Rs.  60,000/-

3-4                            Rs.100,000/-

5-6                            Rs.120,000/-

7-8                            Rs.160,000/-

8 & above                  Rs.200,000/-

 

Note:

1.      In the case of spinning units having fibre dyeing facilities also, only one activity will be counted.

2.      The Governing Council will have the authority to rationalise and restructure the maximum subscription limits given above in the light of experiences in their imple-mentation.

b) Members covered by Clause 3(c)(ii) above Rs.2,000/- per crore of turnover, subject to minimum of Rs.8,000/- and maximum of Rs.25,000/-.
c) Members covered by Clause 3(c)(iii) above At the rate of Rs.2,000/- per crore of turnover, subject to minimum of Rs.5,000/- and maximum of Rs.15,000/-
d) Members covered by Clause 3(c)(iv) above At the rate of Rs.2,000/- per crore of turnover, subject to minimum of Rs.8,000/- and maximum of Rs.25,000/-.
e) Members covered by Clauses 3(c)(v) & 3(c) (vi)  above As may be decided by the Council of Administration
f) Members covered by Clauses 3(c) (vii) Rs.4,000/- per set of installed saw gins and/or Rs.400/- per installed roller gins (single or double), subject to a minimum of Rs.6,000/- and maximum of Rs.12,000/-.

 

Explanation:

 1.      Group membership concept has been built into the above proposals by providing telescopic annual subscription rates as given under 4.3(a).

 2.      Group members will be treated as members only in respect of such of the units belonging to them for which they paid admission fee and are paying annual subscription and capital contribution etc., as applicable.

 3.      Any member taking membership during the course of the year after the expiry of first six months or more, will have to pay only 50% of the annual subscription.

 4.      In working out the turnover, fraction of a crore less than 0.5 crore will be ignored and above 0.5 crore will be taken as one crore.

4.4               In addition to the sums mentioned in Rule-4 above, the Association at the Annual or Extra-Ordinary General Meeting may in the  event of funds and the Assets of Association including grants, contribution and endowments from the Govern-ment  Public Bodies or others which the Association may be receiving, or which may be received being found or estimated to be insufficient or inadequate to undertake or carry on satisfactorily the work of the Association or to fulfil its objects, with the approval of 75% or more of the votes of members present at a meeting of which due notice has been given, call for a further contribution  either for capital or revenue expenditure or both wholly or partly from the members provided however, that such contribution may be levied on the basis of spindles, looms, turnover, processing capacity or any such basis as decided/approved by General Body Meeting.

 4.5               The Council will have the authority and discretion to remit annual subscription in any specific/general type of                 cases provided  a resolution is passed by at least 75% of the members present and voting to that effect.

 

4.6               For the purposes of Clauses 4.1 to 4.3 above –
